Terms of Service

1. Agreement to Terms

By accessing or using any Eggella AI Bot ("the Bot" or "our Bots"), operated through Telegram messenger, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, you do not have permission to access the Bot.

2. Description of Services

Eggella develops and operates AI-powered bots for Telegram. Our bots provide various AI-driven services including but not limited to:

• Automated responses and AI-powered conversations
• Data processing and analysis
• Content generation and document creation
• Image and text analysis
• Specialized computational tasks

3. User Accounts and Registration

To use any of our Bots, you must:

• Have a valid Telegram account
• Be at least 13 years old (or the minimum age in your jurisdiction)
• Provide accurate information when requested
• Maintain the security of your account
• Accept these Terms and comply with all applicable laws

4. Payment Terms

4.1 Message Credits and Pricing

Our Bots operate on a credit-based system using Telegram Stars:

• New users receive free trial messages upon accepting these Terms
• Additional messages must be purchased using Telegram Stars
• Pricing may vary by bot and service type
• Purchased messages are typically valid for 30 days from purchase date
• Unused messages expire and are not refundable
• We reserve the right to modify pricing with reasonable notice

4.2 Refunds and Disputes

Refund requests are processed at our sole discretion and subject to the following:

• Technical failures preventing service delivery
• Unauthorized charges (subject to verification)
• Service not delivered as described

4.3 Message Usage Calculation for Message Packages and Subscriptions

4.3.1. One used message is counted as a RESPONSE from the Telegram bot to the Customer's request, regardless of the quality, completeness, or correspondence of the response to the Customer's expectations.

4.3.2. A message is considered used in the following cases:

• The Bot provided a response to the Customer's request (even if the response is incomplete, incorrect, or does not meet expectations);
• The Customer sent an incorrect or unclear request, and the Bot responded (for example, with an error message or a request to clarify the query);
• The Bot was unable to process the request due to technical reasons but provided a response about this (for example, "Cannot process a file of this format").

4.3.3. A message is NOT considered used ONLY if:

• The Telegram bot did not provide any response whatsoever to the Customer's request due to a technical failure on the Service Provider's side;
• The Customer did not receive a response within 24 hours from the time of sending the request.

4.3.4. If a message was not counted according to clause 4.3.3, the Customer has the right to contact support to restore the message balance by specifying the date and time of the request.

5. Acceptable Use Policy

You agree NOT to use any of our Bots to:

• Violate any applicable laws, regulations, or third-party rights
• Transmit harmful, illegal, threatening, abusive, or offensive content
• Infringe on intellectual property rights
• Attempt to gain unauthorized access to the Bot or its systems
• Interfere with other users' access to the Bot
• Use the Bot for unauthorized commercial purposes
• Circumvent usage limits, security measures, or payment systems
• Generate content intended to cause harm to individuals or property
• Spam, harass, or engage in any form of abuse
• Reverse engineer, decompile, or attempt to extract source code
• Use automated systems to access the Bot beyond allowed limits

6. Intellectual Property

6.1 Our Rights

The Bots and their original content, features, and functionality are owned by Eggella and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Your Content

Content you generate using our Bots remains your property. However, you grant us a worldwide, non-exclusive, royalty-free license to:

• Store and process your content as necessary to provide the service
• Use anonymized data for service improvement
• Comply with legal obligations

7. Disclaimer of Warranties

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• Eggella shall not be liable for any indirect, incidental, special, consequential, or punitive damages
• This includes damages for loss of profits, data, goodwill, or other intangible losses
• Total liability shall not exceed the amount paid by you in the past 30 days, or $100, whichever is greater
• We are not responsible for losses resulting from your reliance on Bot-generated content
• We are not liable for third-party actions, including Telegram's service interruptions
• We are not responsible for decisions made based on Bot outputs

9. Indemnification

You agree to indemnify, defend, and hold harmless Eggella, its officers, directors, employees, and agents from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising from:

• Your use or misuse of the Bots
• Your violation of these Terms
• Your violation of any rights of another party
• Content you submit or generate through the Bots

10. Data Processing and Privacy

10.1 Data Collection and Use

By using our Bots, you acknowledge and agree that:

• Your messages and data are processed through automated AI systems
• We use third-party AI service providers (OpenRouter, Google Gemini) to process your requests
• Your data may be stored in multiple jurisdictions
• We implement appropriate security measures to protect your data

10.2 Data Retention

Your data is retained according to the following schedule:

• User Messages: Stored for 30 days with your user information to maintain conversation context and improve your experience
• Anonymized Messages: After 30 days, messages are permanently anonymized (all personal identifiers removed) and retained for up to 1 year for service quality improvement
• Account Data: Retained while your account is active plus 30 days for account recovery
• Transaction Records: Retained for 7 years to comply with legal and tax requirements
• Generated Files: Automatically deleted after 24 hours

10.3 Your Data Rights

You have the right to:

• Access your personal data
• Request deletion of your data before the retention period expires
• Export your data in a portable format
• Object to certain data processing activities
• Withdraw consent for non-essential data processing

10.4 Telegram Platform

Our Bots operate on the Telegram platform. By using our Bots, you also agree to:

• Telegram's Terms of Service
• Telegram's Privacy Policy
• Telegram's Third-Party Apps Privacy Policy

Telegram acts as an intermediary for message delivery and has its own data handling practices separate from ours.

10.5 AI Model Training

Regarding use of your data for AI improvement:

• Your identifiable messages (first 30 days): NOT used for AI model training without explicit consent
• Anonymized messages (after 30 days): May be used to improve our services and AI models. These cannot be linked back to you
• Opt-out: You can request that your data not be used for service improvement by contacting us at eggellaai@gmail.com

11. Modifications to Service

We reserve the right to:

• Modify, suspend, or discontinue any Bot or feature at any time
• Change pricing, credit systems, and service plans
• Update these Terms with reasonable notice (typically 30 days)
• Impose usage limits or restrict access
• Introduce new features or remove existing ones

We will make reasonable efforts to notify users of significant changes via the Bot, Telegram channel, or website.

12. Termination

12.1 By Us

We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including but not limited to:

• Breach of these Terms
• Fraudulent or illegal activity
• Abuse of the service or other users
• Non-payment

12.2 By You

You may stop using the Bot at any time. Unused paid credits are non-refundable except as required by law.

13. Governing Law and Dispute Resolution

13.1 Governing Law

These Terms shall be governed by and construed in accordance with international commercial law principles, without regard to conflict of law provisions.

13.2 Dispute Resolution

Any disputes arising from these Terms or use of the Bots shall be resolved through:

1. Negotiation: Good faith negotiations for 30 days
2. Mediation: Non-binding mediation if negotiation fails
3. Arbitration: Binding arbitration under UNCITRAL Arbitration Rules

14. General Provisions

14.1 Severability

If any provision is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

14.2 Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Eggella.

14.3 No Waiver

Failure to enforce any provision shall not constitute a waiver of that or any other provision.

14.4 Assignment

We may assign these Terms at any time. You may not assign these Terms without our written consent.

14.5 Language

These Terms are provided in multiple languages. In case of discrepancies, the English version prevails.
